SynaMark
Subscription Agreement (EULA)
KamSoft Consultants Ltd · Last updated 6 October 2026
Draft — pending legal review. This document is published for evaluation and is not yet in effect.
This Subscription Agreement (the "Agreement") is between KamSoft Consultants Ltd (a private limited company registered in England and Wales under company number 16636807, registered office 70 Water Lane, Ilford, IG3 9HT, United Kingdom) ("we", "us") and the organisation that subscribes to SynaMark ("Customer", "you"). It applies to the SynaMark Outlook add-in, the SynaMark administration portal and related documentation (together, the "Service"). The Service supports Outlook for Microsoft 365: new and classic Outlook for Windows (Microsoft 365 Apps), Outlook for Mac, Outlook on the web and Outlook for iOS and Android.
By subscribing through Microsoft Marketplace, by granting admin consent to the SynaMark application, or by deploying the add-in, you accept this Agreement on behalf of your organisation and confirm you have authority to do so.
1. Definitions
- Customer Data — data in your Microsoft 365 tenant that the Service uses, including directory attributes, signature templates, brand settings, images, campaigns and configuration. The Service stores and processes Customer Data within your tenant; we do not receive it.
- Authorised Users — your employees and contractors whose mailboxes are licensed under your subscription.
- Subscription Term — the period of your subscription as recorded in Microsoft Marketplace, including renewals.
- Documentation — our user and administrator guides published on https://synamark.kamsoft.tech.
2. The Service
2.1 We grant you a non-exclusive, non-transferable right, during the Subscription Term, to use the Service for your internal business purposes for up to the number of Authorised Users you have purchased.
2.2 We will provide the Service in accordance with the Documentation and our Service Level Agreement.
2.3 We may improve and update the Service. We will not materially reduce the core functionality of your plan during a paid Subscription Term.
2.4 The Service depends on Microsoft 365, Microsoft Entra ID and Microsoft Outlook, which are provided by Microsoft under your agreement with Microsoft. We are not responsible for their availability or for changes Microsoft makes to them, though we will use reasonable efforts to adapt the Service to such changes.
3. Your responsibilities
3.1 You are responsible for: granting and maintaining the Microsoft Entra ID consents and Exchange Online configuration the Service requires; the content of your signature templates, banners and disclaimers; the accuracy of your directory data; and your Authorised Users' compliance with this Agreement.
3.2 You must comply with our Acceptable Use Policy.
3.3 You must not: sublicense, resell or provide the Service to third parties; reverse engineer the Service except as permitted by law; circumvent usage limits or security controls; or use the Service to build a competing product.
3.4 Tenant setup. You are responsible for creating the SynaMark SharePoint site and granting the permissions described in the Documentation, and for assigning administrator and editor roles within your organisation.
4. Subscriptions, fees and billing
4.1 Subscriptions are purchased, billed and renewed through Microsoft Marketplace. The fees are those shown at the point of purchase in Microsoft Marketplace, which prevail over any price shown elsewhere. Payment, invoicing, taxes and refunds are handled by Microsoft under its marketplace terms.
4.2 You may change plan or quantity through Microsoft Marketplace. Changes take effect as Microsoft Marketplace provides.
4.3 We may change prices for future renewal terms by giving at least 60 days' notice before renewal.
5. Customer Data and privacy
5.1 You own Customer Data. The Service is designed so that Customer Data stays within your Microsoft 365 tenant. The add-in and portal communicate only with Microsoft, and we do not receive, store or access Customer Data.
5.2 If you choose to give us personal data, for example in a support request, our Data Processing Agreement governs it and forms part of this Agreement.
5.3 We will not introduce any transfer of Customer Data to us, or to any third party other than Microsoft, without at least 60 days' notice. If you object to such a change, you may terminate this Agreement and receive a refund of prepaid fees for the remaining term.
5.4 Your use of Microsoft 365 is governed by your agreement with Microsoft, which processes Customer Data as your processor.
6. Security
We will maintain the security measures described in Annex II of the Data Processing Agreement, including for the integrity of the code we supply, and will not materially reduce them during the Subscription Term.
7. Intellectual property
7.1 We and our licensors own the Service, the Documentation and all related intellectual property. No rights are granted except as expressly stated in this Agreement.
7.2 You own your templates, logos, images and other content you create with the Service ("Your Content"). Your Content is stored in your tenant. We need no licence to it, except to the extent you choose to send it to us for support.
7.3 If you give us feedback, we may use it without obligation to you.
8. Confidentiality
Each party will keep the other's confidential information confidential, use it only to perform this Agreement, and disclose it only to personnel and advisers who need to know it and are bound by equivalent obligations. These obligations do not apply to information that is public, already known, independently developed or lawfully received from a third party, or which must be disclosed by law (with prompt notice where lawful).
9. Warranties
9.1 We warrant that the Service will perform materially in accordance with the Documentation. If it does not, your remedy is for us to use reasonable efforts to correct the non-conformity or, if we cannot do so within a reasonable time, for either party to terminate the affected subscription and for you to receive a refund of prepaid fees for the remaining Subscription Term.
9.2 Except as expressly stated in this Agreement, the Service is provided "as is", and we exclude all other warranties, conditions and terms to the fullest extent permitted by law. We do not warrant that signatures will display identically in every recipient's email client.
10. Indemnities
10.1 We will defend you against any third-party claim alleging that the Service infringes that party's intellectual property rights, and pay damages finally awarded, provided you notify us promptly, give us control of the defence and reasonably cooperate. This does not apply to claims arising from Your Content, from combination with items we did not supply, or from use in breach of this Agreement.
10.2 You will defend us against any third-party claim arising from Your Content or your breach of the Acceptable Use Policy, on the equivalent conditions.
11. Limitation of liability
11.1 Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited by law.
11.2 Neither party is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss.
11.3 Subject to 11.1, each party's total liability arising out of or in connection with this Agreement in any 12-month period is limited to the fees paid and payable by you for the Service in the 12 months before the event giving rise to the claim. This cap does not apply to your payment obligations or to either party's indemnity obligations under section 10, which are limited to three times that amount.
12. Term, suspension and termination
12.1 This Agreement continues for the Subscription Term.
12.2 We may suspend the Service if your use threatens the security or integrity of the Service or breaches the Acceptable Use Policy, if Microsoft Marketplace reports your subscription as suspended for non-payment, or if required by law. We will give notice where practicable and restore the Service promptly once the cause is resolved.
12.3 Either party may terminate this Agreement if the other materially breaches it and fails to remedy the breach within 30 days of notice, or becomes insolvent.
12.4 You may cancel your subscription through Microsoft Marketplace at any time; cancellation takes effect as Microsoft Marketplace provides.
12.5 On termination, your right to use the Service ends and the Outlook add-in will stop inserting signatures. You should remove the add-in deployment. Customer Data remains in your tenant under your control. Delete the SynaMark SharePoint site if you no longer need it.
12.6 Sections 5, 7, 8, 10, 11, 12.5 and 13 survive termination.
13. General
13.1 Changes. We may update this Agreement by posting a new version on https://synamark.kamsoft.tech and giving at least 30 days' notice to your administrators. Material adverse changes take effect at your next renewal unless you agree otherwise.
13.2 Assignment. Neither party may assign this Agreement without the other's consent, except to a successor of all or substantially all of its business on notice.
13.3 Force majeure. Neither party is liable for failure caused by events beyond its reasonable control, including failures of Microsoft services.
13.4 Entire agreement. This Agreement, the Data Processing Agreement, the Service Level Agreement and the Acceptable Use Policy are the entire agreement between the parties on their subject matter. If you and we have signed a separate written agreement for the Service, it prevails.
13.5 Export and sanctions. Each party will comply with applicable export control and sanctions laws.
13.6 Third parties. No one other than the parties has rights under this Agreement. Microsoft is not a party to this Agreement.
13.7 Notices. Notices to us must be sent to legal@kamsoft.tech. Notices to you may be sent to the administrator email addresses associated with your subscription.
13.8 Governing law. This Agreement and any dispute arising from it are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
